CHL AI 客製工具服務條款與範例檔使用協議

您（以下稱「委託人」）於本頁送出需求並勾選同意時，即表示已詳閱並同意下列條款。
第一條 服務內容
本公司依委託人於需求單所填內容及所提供之範例檔，製作客製化工具（以下稱「工具」）。工具之功能範圍以需求單及本公司書面確認之內容為準；未列入者，不屬本次服務範圍。
第二條 報價與付款
- 需求單頁面顯示之金額為本次服務之報價，含工具製作、測試及第五條所定之免費修改。
- 委託人完成付款後，本公司始開始製作。付款以綠界科技等第三方金流辦理，本公司依法開立發票。費用以新台幣計收，頁面顯示之外幣金額僅供參考。
- 以簡單版提出之需求，由本公司評估後另以 Email 提供報價，委託人確認並付款後始開始製作。
第三條 製作與交付
- 本公司以委託人提供之範例檔進行製作與測試，完成後以 Email 寄送工具檔案或下載連結至委託人留存之 Email。
- 如自動製作未能達成需求，本公司將改由專人處理並另行通知，委託人無須另行付費。
- 交付時程自付款完成且範例檔齊備時起算；範例檔不足或需求不明確致延誤者，時程順延。
第四條 驗收
委託人應於工具交付後 3 個工作天內進行測試，並以 Email 回報問題。逾期未回報者，視為驗收完成。
第五條 修改
- 於驗收期間內回報、且屬需求單範圍內之問題，本公司提供 2 次免費修改。
- 超過 2 次後，每次修改按本次服務原報價金額計費，付款後進行。
- 新增功能或變更需求單範圍者，不屬修改，由本公司另行報價。
第六條 取消、退款與解除權
- 本服務係依委託人要求所為之客製化給付，依消費者保護法第十九條第一項但書及「通訊交易解除權合理例外情事適用準則」第二條第二款，本公司於此告知：本服務不適用七日解除權。
- 本公司開始製作前，委託人得以 Email 取消，本公司退還已付費用（扣除金流手續費）。
- 本公司確認無法完成工具者，全額退還已付費用。
第七條 範例檔之提供與責任
- 委託人保證對所提供之範例檔有合法使用及提供之權利；檔案內含第三人個人資料者，委託人應已依法取得必要之同意或具其他合法依據。
- 本公司建議委託人於提供前移除或遮蔽不必要之個人資料及機敏資料（例如以假資料替換姓名、電話、地址），僅保留足以呈現檔案格式之內容。
- 範例檔如有密碼保護，請另以 Email 或電話提供密碼，勿填寫於需求單；本公司僅於本案使用，結案後刪除。
- 因委託人提供之檔案侵害第三人權利或違反法令所生之責任，由委託人自行負擔。
第八條 個人資料之蒐集與處理（個人資料保護法第八條告知事項）
- 蒐集者：俊源科技有限公司。
- 蒐集目的：客製化工具之報價、製作、測試、交付、收款及售後服務。
- 個人資料類別：委託人之姓名、Email、電話或通訊帳號、公司名稱，及範例檔內可能含有之個人資料。
- 利用期間：自蒐集時起至驗收完成後 30 日；範例檔於上述期間屆滿後刪除。依法令應保存之交易及發票資料，依法定期間保存。
- 利用地區：中華民國境內，及本公司為完成服務所使用之雲端主機、人工智慧服務提供者之資料處理所在地（可能位於境外）。
- 利用對象及方式：本公司及為完成前款目的所必要之受託服務提供者（雲端主機、人工智慧服務、金流、電子郵件服務），以電子方式處理。本公司不將範例檔用於本案以外之目的。
- 當事人權利：委託人得依個人資料保護法第三條，以 Email 向本公司請求查詢、閱覽、製給複製本、補充或更正、停止蒐集處理利用或刪除。
- 委託人得自由選擇是否提供；未提供聯絡資料或範例檔者，本公司可能無法提供服務。
第九條 保密
雙方對因本案知悉對方之營業資料及範例檔內容負保密義務，非經對方同意不得洩漏，但依法令要求者不在此限。
第十條 智慧財產權
工具之著作權歸本公司所有。委託人取得於其內部營運永久使用、修改工具之授權，但不得轉售、出租或再授權第三人。
第十一條 責任限制
工具依委託人提供之範例檔測試；委託人應於使用時自行核對輸出結果。除本公司有故意或重大過失外，本公司就本案之賠償責任，以委託人就本案已支付之費用為上限。
第十二條 準據法及管轄
本條款以中華民國法律為準據法。因本條款涉訟者，以臺灣新北地方法院為第一審管轄法院，但法律另有專屬管轄或消費者保護法另有規定者，從其規定。
CHL AI Custom Tool Terms of Service and Sample File Agreement

By submitting a request on this page and ticking the consent box, you ("the Client") confirm that you have read and agree to these terms.
Article 1 Scope of service
We build a custom tool ("the Tool") based on the information in your request form and the sample files you provide. The scope of the Tool is limited to the request form and anything we confirm in writing; anything else is outside the scope of this order.
Article 2 Quote and payment
- The amount shown on the request page is the quote for this service. It includes building, testing and the free revisions in Article 5.
- We start work after payment is complete. Payment is processed by a third-party payment provider such as ECPay, and we issue an invoice as required by law. Fees are charged in New Taiwan dollars; any foreign currency amount shown on the page is for reference only.
- For quick requests, we will email you a quote after reviewing your needs, and start work once you confirm and pay.
Article 3 Building and delivery
- We build and test the Tool using your sample files, then email the Tool file or a download link to the email address you provided.
- If automated building cannot meet your needs, a member of our staff will take over and let you know, at no extra charge.
- The delivery schedule starts when payment is complete and all sample files have been received. Delays caused by missing samples or unclear requirements extend the schedule accordingly.
Article 4 Acceptance
Please test the Tool within 3 business days of delivery and report any issues by email. If no issue is reported within that period, the Tool is deemed accepted.
Article 5 Revisions
- For issues reported within the acceptance period and within the scope of the request form, we provide 2 free revisions.
- After 2 revisions, each further revision is charged at the original quote for this order and carried out after payment.
- New features or changes to the scope of the request form are not revisions and will be quoted separately.
Article 6 Cancellation, refunds and right of withdrawal
- This service is made to your specifications. Under the proviso to Article 19(1) of Taiwan's Consumer Protection Act and Article 2(2) of the Guidelines on Reasonable Exceptions to the Right of Withdrawal in Distance Sales, we hereby inform you that the 7-day right of withdrawal does not apply to this service.
- You may cancel by email before we start work, and we will refund the amount paid less payment processing fees.
- If we confirm that we cannot complete the Tool, we will refund the full amount paid.
Article 7 Sample files and responsibility
- You warrant that you have the right to use and provide the sample files. If a file contains personal data of third parties, you warrant that you have obtained the necessary consent or have another lawful basis.
- We recommend removing or masking unnecessary personal and sensitive data before sending (for example, replacing names, phone numbers and addresses with dummy data), keeping only enough to show the file format.
- If a sample file is password protected, please send the password separately by email or phone, not in the request form. We use it only for this order and delete it when the order is closed.
- You are responsible for any liability arising from files you provide that infringe third-party rights or violate the law.
Article 8 Collection and processing of personal data (notice under Article 8 of Taiwan's Personal Data Protection Act)
- Collector: JUNYUAN CO., LTD.
- Purpose: quoting, building, testing, delivering, collecting payment for and supporting the custom Tool.
- Data categories: your name, email, phone or messaging account, company name, and any personal data contained in sample files.
- Retention: from collection until 30 days after acceptance; sample files are deleted at the end of this period. Transaction and invoice records required by law are kept for the statutory period.
- Location: Taiwan (R.O.C.) and the locations where the cloud hosting and artificial intelligence service providers we use to deliver the service process data, which may be outside Taiwan.
- Recipients and method: us and the service providers necessary for the purposes above (cloud hosting, artificial intelligence, payment and email services), processed electronically. We do not use sample files for any purpose other than this order.
- Your rights: under Article 3 of the Personal Data Protection Act, you may ask us by email to let you inquire about, review or obtain copies of your data, to supplement or correct it, to stop collecting, processing or using it, or to delete it.
- Providing data is voluntary; without contact details or sample files we may be unable to provide the service.
Article 9 Confidentiality
Both parties keep confidential the other party's business information and sample file contents learned through this order, and will not disclose them without consent, except as required by law.
Article 10 Intellectual property
Copyright in the Tool belongs to us. You receive a perpetual licence to use and modify the Tool for your internal operations, but may not resell, rent or sublicense it to any third party.
Article 11 Limitation of liability
The Tool is tested with the sample files you provide; please check its output when you use it. Except in cases of our intent or gross negligence, our total liability for this order is limited to the amount you have paid for it.
Article 12 Governing law and jurisdiction
These terms are governed by the laws of the Republic of China (Taiwan). The Taiwan New Taipei District Court is the court of first instance for any dispute, unless the law provides for exclusive jurisdiction or the Consumer Protection Act provides otherwise.

- Usamos tus datos solo para este pedido y borramos los archivos de ejemplo 30 días después de la aceptación. Pueden procesarlos proveedores de alojamiento en la nube y de inteligencia artificial, posiblemente fuera de Taiwán. Puedes pedirnos por correo consultar, corregir o eliminar tus datos.
- Los derechos de autor de la herramienta son de CHL; tú recibes una licencia permanente para uso interno. Nuestra responsabilidad se limita al importe pagado. Se aplica la ley de Taiwán.
